1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the FinAxisOne platform and related services (the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.
2. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information and promptly update it as needed. Notify us immediately of any unauthorized use of your account.
3. Acceptable Use
You agree not to misuse the Services, including by: attempting to gain unauthorized access; interfering with or disrupting the Services; reverse engineering except as permitted by law; uploading malicious code; or using the Services to violate any applicable law or third-party rights.
4. Your Data
You retain all rights to the data your organization submits to the Services ("Customer Data"). You grant us a limited license to host, process, and transmit Customer Data solely to provide and support the Services. Our handling of personal information is described in our Privacy Policy.
5. Subscriptions and Payment
Paid Services are billed according to the plan you select. Fees are non-refundable except as required by law or expressly stated. We may change pricing with reasonable notice; changes apply to subsequent billing periods.
6. Intellectual Property
The Services, including all software, designs, and content we provide, are owned by FinAxisOne and its licensors and are protected by intellectual property laws. These Terms do not grant you any rights in the Services except the limited right to use them as permitted here.
7. Confidentiality
Each party may have access to the other’s confidential information. Each party agrees to protect the other’s confidential information and use it only as necessary to perform under these Terms.
8. Service Availability
We strive to keep the Services available and performant, but we do not guarantee uninterrupted availability. We may modify, suspend, or discontinue features from time to time, and will aim to provide reasonable notice of material changes.
9. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability, and non-infringement, to the fullest extent permitted by law.
10. Limitation of Liability
To the maximum extent permitted by law, FinAxisOne will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of the Services. Our total liability for any claim will not exceed the amounts you paid for the Services in the twelve months preceding the claim.
11. Indemnification
You agree to indemnify and hold FinAxisOne harmless from claims arising out of your use of the Services, your Customer Data, or your violation of these Terms, to the extent permitted by law.
12. Termination
You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms or if required by law. Upon termination, your right to use the Services ends; certain provisions survive termination by their nature.
13. Governing Law
These Terms are governed by the laws of the jurisdiction in which FinAxisOne is established, without regard to conflict-of-laws principles. The specific governing law and venue will be set out in your order or agreement.
14. Changes to These Terms
We may update these Terms from time to time. We will post the updated version with a new effective date and, where appropriate, provide additional notice. Continued use of the Services after changes take effect constitutes acceptance.
